TERMS AND CONDITIONS (TERMS OF SERVICE)

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.

 

1. ACCEPTANCE OF TERMS AND BINDING AGREEMENT

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your", "Driver", "Operator", or "Vendor") and DIGIHORIZON RECHARGE VEHICLE PRIVATE LIMITED, along with its proprietary brands, products, and platforms including "Palipoint", "Palipoint Keep Riding", and "Palipoint Electric" (collectively referred to as "Company", "Palipoint", "we", "us", or "our").

 

By accessing, downloading, registering for, or using our mobile applications (Android/iOS), web portals, charging management software (CMS), API services, IoT-integrated charging sockets, EV charging stations, battery swap stations, roadside assistance, electrician dispatch services, or any affiliated websites (collectively, the "Platform" or "Services"), you agree to be bound by these Terms and our incorporated Privacy Policy and Cancellation & Refund Policy. If you do not agree to these Terms in full, you must immediately cease all access and use of the Services.

3. ELIGIBILITY & USER ACCOUNTS

3.1. Age & Capacity: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) and possess the legal capacity to enter into binding contracts.

3.2. Account Creation & Verification: You agree to provide accurate, complete, current, and verifiable information during registration (including valid contact number, email, vehicle registration details, and KYC documents where required).

3.3. Account Security: You are solely responsible for safeguarding your login credentials, OTPs, API keys, RFID tags, and passwords. Any activity originating from your account shall be deemed authorized by you. Palipoint shall not be liable for any unauthorized access or loss resulting from your failure to secure your credentials.

3.4. Account Suspension & Termination: Palipoint reserves the unconditional right to suspend, restrict, or terminate any account immediately, without prior notice or liability, if fraudulent activity, abuse, breach of safety norms, non-payment, or violation of these Terms is suspected or detected.

 

4. SCOPE OF SERVICES & NATURE OF THE PLATFORM

Palipoint provides a comprehensive digital energy, mobility, and technology ecosystem, which includes:

- EV Charging Network & eMSP Services: Discovery, real-time status mapping, navigation, slot reservation, remote session initiation, energy metering, and payment processing for Electric Vehicle (EV) chargers (AC, DC Fast Chargers, Heavy Vehicle Chargers, and Smart Socket Controllers).

- Battery Swapping & Lifecycle Management: Swapping station locator, battery reservation, and automated swap authentication.

- Electrician & Technical Marketplace: On-demand marketplace connecting users with independent licensed/certified electricians and technicians for site survey, EV charger installation, maintenance, and electrical works.

- Fuel & Energy Station Aggregator: Mapping, station discovery, pricing updates, and routing for conventional fuel (Petrol/Diesel), Bio-diesel, CNG, and Hydrogen (H2) stations.

- Roadside Assistance & Tyre Services: Facilitation of emergency breakdown assistance, battery jump-starts, towing, and mobile tyre repair.

- B2B & Enterprise Services: Charge Point Operator (CPO) software, white-label eMSP applications, fleet management tools, tenant management, OCPP 1.6J/2.0.1 and OCPI roaming protocols, and developer API integrations.

 

5. CRITICAL DISCLAIMERS & INTERMEDIARY STATUS (SAFE HARBOR)

5.1. Platform as an Intermediary: Palipoint operates strictly as a digital technology platform and aggregator. Unless explicitly stated in writing for specific company-owned assets, Palipoint DOES NOT own, operate, control, or maintain third-party charging stations, fuel outlets, grid power lines, parking facilities, or repair shops. Palipoint is an "Intermediary" under Section 79 of the Indian Information Technology Act, 2000, and equivalent international intermediary safe-harbor regulations.

5.2. Independent Third-Party Providers: Electricians, technicians, Charge Point Operators (CPOs), fuel station attendants, towing operators, and host property owners are independent contractors and third-party service providers. Palipoint is not an employer, partner, or joint venturer of such parties. Palipoint assumes no liability for the acts, omissions, errors, warranties, negligence, property damage, bodily injury, or service delays caused by third-party providers.

5.3. Electrical & Grid Fluctuations: EV charging performance depends on electrical grid quality, power outages, local transformer load shedding, voltage fluctuations, vehicle battery management system (BMS) throttling, and hardware health. Palipoint provides no guarantee regarding charging speeds, uninterrupted power supply, or full battery replenishment.

5.4. Station Availability & Pricing: Station locations, connector types, operating hours, amenities, and real-time fuel/energy tariffs displayed on the Platform are based on third-party telemetry and dynamic market updates. While we strive for accuracy, Palipoint makes no representations or warranties regarding 100% accuracy, live uptime, or pricing consistency.

 

6. CHARGING SESSION PROTOCOLS, SAFETY & USER OBLIGATIONS

6.1. Safety Compliance: Users must strictly comply with all manufacturer guidelines for their vehicle, standard high-voltage electrical safety measures, station signage, fire safety regulations, and instructions displayed on chargers or within the mobile app.

6.2. Authorized Equipment: Users must only connect standard, OEM-certified, undamaged charging cables and vehicle inlet connectors. Using unapproved adapters, tampered wires, defective vehicle inlets, or bypassing safety mechanisms is strictly prohibited.

6.3. Idle Fees & Overstay Penalties: To ensure network availability, once an EV charging session reaches completion (100% SoC or targeted threshold), a grace period (e.g., 10 to 15 minutes) may apply. Failure to unplug and vacate the charging bay within the grace period may result in automated recurring "Idle Fees" billed to your account or wallet.

6.4. Vehicle & Property Care: Users agree to operate charging guns and sockets with due care. You shall be solely liable for any physical damage caused to the charging infrastructure, parking premises, sockets, cables, or adjacent vehicles due to your negligence, driving errors, or misuse.

 

7. ELECTRICIAN & INSTALLATION SERVICES (MARKETPLACE TERMS)

7.1. Scope of Work: When you book an electrician or installation service via Palipoint Electric, the contract for physical execution is formed directly between you and the assigned independent certified electrician.

7.2. Premises Access & Approvals: The customer is solely responsible for obtaining all necessary permissions, landlord approvals, building society/RWA NOCs, and municipal sanctions required for charger installation and electrical wiring.

7.3. Warranty & Defect Liability: Palipoint provides no direct structural or electrical warranty on physical wiring or electrical hardware installed by third-party electricians. Any manufacturer warranties on chargers or components shall be governed exclusively by the original hardware manufacturer.

 

8. PRICING, PAYMENTS, TAXES & DIGITAL WALLET

8.1. Tariffs & Dynamic Rates: Charging fees may be billed based on kilowatt-hours (kWh) consumed, session duration (time-based), flat socket session fees, parking/convenience charges, or a hybrid model as determined by the station operator. All applicable taxes (including GST/VAT/local sales taxes) will be added at checkout.

8.2. Payment Processing: Payments are processed via authorized third-party payment gateways (including UPI, Net Banking, Credit/Debit Cards, Paytm, PhonePe, Razorpay, Stripe, and PayPal for international users). Palipoint does not store complete card credentials. You agree to comply with the terms of the respective payment processors.

8.3. Palipoint Wallet & Promotional Coins:

- Wallet balances are non-transferable and can only be utilized for transactions across the Palipoint network.

- Promotional Coins, reward credits, or cashbacks granted by Palipoint have no direct cash redemption value, are non-transferable, and may be subject to expiration policies.

8.4. Negative Balances & Recovery: If a charging session concludes with charges exceeding your prepaid balance or authorized hold amount, your wallet will reflect a negative balance. Palipoint reserves the right to automatically deduct the outstanding amount from your next wallet recharge or linked payment method, or suspend your access until all dues are cleared.

 

9. HARDWARE, SMART SOCKETS & B2B/CPO SAAS TERMS

9.1. Firmware & Cloud Connectivity: Palipoint hardware and smart socket controllers require active cellular (GSM/4G/5G) or Wi-Fi connectivity to communicate with cloud servers. Palipoint is not liable for localized network blackouts or SIM telecommunication failures affecting charger communication.

9.2. SaaS License Grant: Subject to timely subscription payments, Palipoint grants CPOs, fleet managers, and enterprise partners a limited, non-exclusive, non-transferable, revocable license to access the CMS software dashboard. Partners shall not reverse-engineer, decompile, resell, or distribute the platform code.

 

10. INTELLECTUAL PROPERTY RIGHTS

10.1. Ownership: All trademarks, service marks, logos, user interfaces, visual design, software code, algorithms, database rights, documentation, and content on the Platform are the exclusive property of DIGIHORIZON RECHARGE VEHICLE PRIVATE LIMITED and its licensors.

10.2. Restrictions: You shall not copy, modify, distribute, scrape, crawl, reverse-engineer, deep-link, mirror, or create derivative works from any part of the Platform without express prior written consent from our authorized directors.

 

11. PROHIBITED CONDUCT

Users agree NOT to:

- Interfere with, disable, or tamper with the security, energy meters, or operational integrity of any charging station, socket, or server.

- Use the Platform for fraudulent chargebacks, identity theft, or unauthorized payment processing.

- Exploit bugs, introduce malicious code, viruses, or conduct automated bot attacks against Palipoint APIs.

- Threaten, harass, abuse, or engage in violent conduct against station hosts, technicians, support staff, or fellow drivers.

 

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

12.1. NO CONSEQUENTIAL DAMAGES: IN NO EVENT SHALL DIGIHORIZON RECHARGE VEHICLE PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, VEHICLE BATTERY DEGRADATION, BMS MALFUNCTION, ELECTRICAL FIRE, TOWING COSTS, LOSS OF VEHICLE USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICES.

12.2. LIABILITY CAP: IN ALL CIRCUMSTANCES, PALIPOINT'S AGGREGATE MAXIMUM LIABILITY ARISING UNDER OR RELATED TO THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL BE STRICTLY LIMITED TO THE EXACT AMOUNT ACTUALLY PAID BY YOU TO PALIPOINT FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, OR INR 1,000 (ONE THOUSAND INDIAN RUPEES) / USD 50 (FIFTY US DOLLARS), WHICHEVER IS LOWER.

 

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless DIGIHORIZON RECHARGE VEHICLE PRIVATE LIMITED, its subsidiaries, affiliates, officers, directors, agents, and employees from and against any and all claims, liabilities, damages, losses, costs, penalties, and legal expenses (including reasonable attorney fees) arising from:

- Your access to or use of the Services;

- Your violation of any provision of these Terms or applicable laws and safety regulations;

- Any damage caused by your vehicle, defective cables, or improper charging operation to third-party property, host premises, or charging equipment;

- Any dispute or interaction between you and independent third-party vendors, electricians, or station hosts.

 

14. FORCE MAJEURE

Palipoint shall not be deemed in default or held liable for any delay, performance failure, or service outage resulting directly or indirectly from acts of God, extreme weather events, earthquakes, floods, electrical grid failure, utility provider outages, telecommunication/satellite failures, cyberattacks, riots, civil unrest, war, pandemics, strikes, lockouts, or government orders.

 

15. GOVERNING LAW, JURISDICTION & DISPUTE RESOLUTION

15.1. Governing Law: These Terms and all related claims shall be governed by, construed, and enforced in accordance with the substantive laws of India, without giving effect to any principles of conflicts of law.

15.2. Mandatory Amicable Discussion: In the event of any dispute, controversy, or claim, the parties agree to first attempt to resolve the issue amicably through good-faith written negotiations within thirty (30) days of written notice.

15.3. Arbitration: If unresolved amicably, the dispute shall be referred to and finally resolved by binding arbitration administered under the Indian Arbitration and Conciliation Act, 1996 (as amended). The arbitration tribunal shall consist of a sole arbitrator appointed mutually by the Company. The seat and venue of arbitration shall be Baleswar / Jaleswar, Odisha, India. The arbitration proceedings shall be conducted in the English language.

15.4. Exclusive Jurisdiction: Subject to arbitration, the courts having jurisdiction over Jaleswar / Baleswar, Odisha, India shall possess exclusive territorial and subject-matter jurisdiction.

15.5. Class Action Waiver: YOU AND PALIPOINT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

 

16. INTERNATIONAL USERS & CROSS-BORDER COMPLIANCE

If you access the Platform from jurisdictions outside India (including the United States, European Union, United Kingdom, Middle East, or Southeast Asia), you are solely responsible for compliance with local laws. You acknowledge that your information and transaction data may be hosted and processed on secure cloud servers located in India and globally compliant cloud regions.

 

17. SEVERABILITY & WAIVER

If any provision of these Terms is found to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect. No failure or delay by Palipoint in exercising any right under these Terms shall operate as a waiver thereof.

 

18. MODIFICATIONS TO TERMS

Palipoint reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. Updated versions will be posted on this page with a revised "Last Updated" date. Continued use of the Services after any such changes constitutes your binding acceptance of the revised Terms.
